Why the clause exists
The risk is not the engagement. It is the relationship.
An accountant who refers an auditor is not putting a piece of work at stake, but a relationship built over years. From the moment of the referral, the client discusses their figures every month with someone else, and that firm sees everything: what does not reconcile, what is still done by hand, where time is lost. From there to a bookkeeping proposal is one step, and that step is taken often enough to have made you careful.
We cannot take it, because we provide none of the services that would put you up for replacement: bookkeeping, payroll, filings, tax advice, valuation, legal services. But a firm can change its service list at any time, so there is no point asking you to take our word for it. We write the undertaking into the contract with the referred client, where it still binds us after the engagement ends.
The clause sits in our contract with the client, not in an agreement between our two firms. It binds us: it puts no obligation on you and does not narrow the client's right to choose whoever they wish. We send it to you on request, word for word.
The undertaking
The undertakings we give
- At that client we neither offer nor accept bookkeeping, payroll, tax, controlling or interim finance services, for the duration of the engagement and for 24 months after it ends, without your written consent.
- Confidentiality runs both ways. We tell you nothing about the engagement at your client without their written consent, because we have a contract and confidentiality terms with them. And we tell them nothing about you.
- We do not comment on your work behind your back. Anything we have to raise goes in writing, in the report or in the letter to management, in the same words we would use with you in the room. If you remain the client's accountant, we work with you day to day in any case, because the figures come from you.
The undertaking applies even if you refer one client, once. We do not ask you to recommend us, we do not keep score of referrals and we make nothing conditional on them.

Accounting firms and accounting platforms
Your clients who cross the threshold need an auditor, and you cannot be that auditor. The undertaking above is written first of all for you.
Law firms and M&A advisers
Financial analysis ahead of a transaction, review of financial statements, post-acquisition reporting. We do not give legal advice and we do not enter your mandate.
Authorised valuers
We do not perform valuations. When an engagement needs one, the work and the report remain yours, and we use the result like any other piece of evidence.
How we start
If you provide a service we do not, and you work with companies that cross the audit threshold, write to [email protected]. The partner replies within one working day, and we send you the clause exactly as it goes into the contract, so you can read it before there is any client in the conversation.
